Terms of Service

These terms govern your use of the Helpdash service and any Helpdash-hosted workspace. They form a contract between you (or the company you represent) and Helpdash Ltd, registered in England & Wales. If you’re signing on behalf of a company, you confirm you have the authority to bind it.

1. Account & workspace

You’re responsible for keeping your credentials confidential and for the activity of agents you invite. We enforce row-level tenant isolation; you are responsible for assigning roles correctly inside your workspace.

2. Acceptable use

Don’t use Helpdash to send spam, harass people, run phishing campaigns, host malware, or process data you have no lawful basis to process. Don’t reverse-engineer the product, abuse the API, or attempt to access other workspaces. We reserve the right to suspend a workspace immediately for safety reasons and to notify you within 24 hours of doing so.

3. Fees & billing

Pricing is per workspace, per month, as published on the pricing page. Monthly plans renew on the calendar date of signup. Annual plans renew on the anniversary date. Overages (conversations, storage) are billed in arrears on the next invoice. Unpaid invoices over 14 days suspend the workspace; over 60 days, we may delete the workspace per our data-retention policy.

4. Cancellation & export

Cancel any time from the workspace billing screen. You keep access until the end of the paid period. After cancellation, you have 30 days to export your data (CSV, JSON, attachment archive) before permanent deletion. There is no early-termination fee.

5. Service availability

We target 99.9% uptime on Pro and 99.95% on Enterprise, measured at the workspace API. Scheduled maintenance is communicated 7 days in advance. SLA credits are documented in your order form and at trust.helpdash.io/sla.

6. Confidentiality & security

We treat your workspace content as confidential. We do not read it for product purposes, train models on it, or share it with third parties beyond the sub-processors documented in the privacy policy. Security incidents are notified within 72 hours of discovery.

7. Intellectual property

You retain ownership of the content you put in your workspace. We retain ownership of the Helpdash software, branding, and documentation. The Helpdash widget served from your domain remains our software, licensed to you for the duration of your subscription.

8. Limitation of liability

To the maximum extent permitted by law, our aggregate liability for any claim related to the service is limited to the fees you paid in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages. Nothing in these terms excludes liability that cannot be excluded under England & Wales law.

9. Indemnity

You agree to defend and indemnify Helpdash against third-party claims arising from your use of the service in breach of these terms or applicable law.

10. Governing law & venue

These terms are governed by the laws of England & Wales. Disputes are submitted to the exclusive jurisdiction of its courts. Either party may seek injunctive relief in any competent court.

11. Changes

We may update these terms with 30 days’ notice to active workspace admins. If a change materially reduces your rights, you may terminate before the change takes effect and receive a pro-rata refund.
